1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Beijixin website (beijixin.org), platform, APIs, and related services (collectively, the "Services") provided by Beijixin ("we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services. These Terms constitute a legally binding agreement between you and us.
These Terms are governed by the laws of England and Wales. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
2. Our Services
Beijixin provides cloud-based software solutions including payment orchestration, analytics, fraud detection, and API integration services. We facilitate payment processing through third-party payment processors, including Stripe, Inc. and its affiliates. We are not a bank, payment institution, or money services business as defined by the Financial Conduct Authority (FCA).
Our Services enable you to accept payments from your customers through various payment methods, including credit cards, debit cards, Alipay, WeChat Pay, and other local payment methods supported by our third-party payment processors.
3. Eligibility and Account Registration
To use our Services, you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you are registering on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.
You agree to provide accurate, current, and complete information during the registration process and to update such information promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
4. Fees and Payment
Fees for our Services are set forth in your order form, subscription agreement, or as displayed on our website. Unless otherwise stated, all fees are quoted in Pounds Sterling (GBP) or US Dollars (USD) and are exclusive of value added tax (VAT) and other applicable taxes, which shall be added at the prevailing rate.
Payment processing fees charged by third-party payment processors (including Stripe) are separate from our service fees and are subject to the terms of the respective payment processor. We are not responsible for any additional fees, charges, foreign exchange mark-ups, or currency conversion fees applied by your bank or card issuer.
All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law, including your statutory rights under the Consumer Rights Act 2015 where applicable.
5. Acceptable Use
You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:
- Using the Services for any activity that violates applicable laws, including the Proceeds of Crime Act 2002, the Bribery Act 2010, or the Terrorism Act 2000.
- Processing transactions for illegal goods, services, or activities.
- Engaging in fraudulent, deceptive, or misleading conduct.
- Infringing any third party's intellectual property rights, privacy rights, or other legal rights.
- Uploading or transmitting viruses, malware, or malicious code.
- Attempting to gain unauthorised access to our systems, networks, or other users' accounts.
- Interfering with or disrupting the availability, integrity, or performance of the Services.
- Using the Services for money laundering, terrorist financing, or any other financial crime.
We reserve the right to investigate violations of these Terms and to suspend or terminate your access to the Services at our sole discretion if we determine a violation has occurred.
6. Payment Processing Terms
When you use our payment processing features, you agree to comply with the terms and conditions of our third-party payment processors, including Stripe's Connected Account Agreement and Stripe Services Agreement, available at stripe.com/gb/legal.
You acknowledge and agree that:
- You are solely responsible for compliance with applicable payment network rules, including those of Visa, Mastercard, and Alipay.
- You are responsible for handling all customer disputes, chargebacks, refunds, and returns in accordance with applicable consumer protection laws.
- You are liable for any fees, fines, penalties, or chargebacks assessed by payment networks or processors in connection with your transactions.
- You must maintain accurate and complete records of all transactions processed through our Services.
7. Intellectual Property Rights
All intellectual property rights in the Services, including but not limited to software, source code, object code, documentation, designs, graphics, logos, trademarks, and content, are owned by Beijixin or our licensors. These Terms do not grant you any right, title, or interest in or to our intellectual property except for the limited, non-exclusive, non-transferable, revocable right to use the Services as expressly set forth herein.
You retain full ownership of all data and content you upload, submit, or transmit through the Services ("Customer Data"). By using the Services, you grant us a worldwide, royalty-free, non-exclusive licence to access, use, process, copy, store, and transmit Customer Data solely for the purpose of providing the Services to you and as set out in our Privacy Policy.
8. Limitation of Liability
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by English law.
Subject to the above, we shall not be liable to you for any:
- Loss of profits, sales, business, or revenue;
- Loss of business opportunity, goodwill, or reputation;
- Loss of anticipated savings;
- Loss or corruption of data or information;
- Any indirect, special, or consequential loss or damage.
Our total aggregate liability to you for any claim arising out of or in connection with these Terms shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or £500, whichever is greater.
9. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We are not responsible for the acts or omissions of third-party service providers, including payment processors and hosting providers.
10. Indemnification
You agree to indemnify, defend, and hold harmless Beijixin and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any dispute between you and your customers.
11. Termination
Either party may terminate these Terms by providing thirty (30) days' written notice to the other party. We may suspend or terminate your access to the Services immediately if: (a) you breach any material provision of these Terms; (b) we are required to do so by law or regulatory authority; or (c) we discontinue the Services.
Upon termination, your right to access and use the Services shall cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to payment obligations, intellectual property provisions, limitation of liability, and indemnification.
12. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services.
14. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: No failure or delay in exercising any right under these Terms shall constitute a waiver of that right.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
- Third-Party Rights: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
- Force Majeure: We shall not be liable for any failure to perform our obligations caused by events beyond our reasonable control.
